Terms and Conditions
	By signing up as an affiliate with Insight Investors LLC, you agree to the following Terms of Service. This agreement is by and between Insight Investors LLC and/or their assigns and all subscribers or affiliates. Unless the context requires otherwise, Insight Investors LLC. and/or their assigns shall be referred to as "us, we, or our" and you shall be referred to as "you, your or subscriber." INSIGHT INVESTORS desires to engage Affiliate and Affiliate is qualified to, and desires to, provide certain services to INSIGHT INVESTORS. The parties agree that Marketing Agent will supply such services to INSIGHT INVESTORS upon request pursuant to the terms and conditions contained in this Agreement. Please read this agreement carefully before registering and before using the Insight Investors Institute service as an affiliate or customer. You understand that Insight Investors LLC. and/or their assigns does not guarantee or predict any type of response from said services. Subscriber agrees to hold Insight Investors LLC harmless from and against any and all losses, claims, expenses, suits, damages, costs, demands or liabilities, joint or several, of whatever kind or nature which Insight Investors LLC and/or their assigns may become subject arising out of or relating in any way to the use of the services provided under this agreement, including, without limitation, in each case attorneys' fees, costs and expenses actually incurred in defending against or enforcing any such losses, claims, expenses, suits, damages or liabilities. Affiliate represents and warrants that it is not a party to any agreement, contract or understanding which will in any way restrict or prohibit it from entering into this Agreement and performing its obligations hereunder in accordance with the terms and conditions of this Agreement. Affiliate further represents and warrants that it is currently in compliance and covenants that it will remain in compliance with all applicable federal, state and local laws, rules and regulations, that the marketing services it has agreed to provide to INSIGHT INVESTORS shall comply and shall continue to comply with all applicable federal, state and local, laws, rules and regulations and that there are no actions, suits, demands, notices, inquiries, penalties, charges, warnings, or other proceedings, threatened, pending or filed within the last five years against Affiliate, its officers, directors, partners, members, managers, owners or employees that would adversely affect Affiliate’s ability to perform its obligations under this Agreement. 1) Services to be Provided. We agree to pay you as described on our website for referral sales made by customers. Payment shall be made monthly at the end of the month for previous month’s sales. 2) Termination. We may terminate your account: (a) if you violate our Terms Of Service Policy; (b) promote Insight Investors LLC in a manner that is unethical or inappropriate; or (c) for any reason, in our sole discretion. C. No Warranties. WE MAKE NO WARRANTIES TO YOU OF ANY KIND, EXPRESSED OR IMPLIED, WITH RESPECT TO THE SERVICE Insight Investors LLC , ITS SUBCONTRACTORS AND AFFILIATES PROVIDE YOU. WE EXPRESSLY DISCLAIM ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS OF THIS SERVICE FOR A PARTICULAR PURPOSE. We shall not be liable for any damages suffered by you, whether indirect, special, incidental, exemplary, or consequential, including, by not limited to, loss of data or service interruptions, regardless of cause or fault. We are not responsible for your lost profits or for your loss of data or information. If notwithstanding this clause we are held liable to you. 3) TERMS. You agree: (1) to use our system in a manner that is ethical and in conformity with community standards; (2) to respect the privacy of other users (you shall not intentionally seek data or passwords belonging to other users, nor will you modify files or represent yourself as another user unless explicitly authorized to do so by that user); (3) to respect the legal protection provided by copyright law, trade secret law, or other laws protecting intellectual property. 4) to accept commercial emails from us. If we learn of a violation or likely violation of our TERMS OF SERVICE, we will attempt to notify you. If you do not take immediate remedial action which is satisfactory to us, or in the event of a serious violation of the TERMS OF SERVICE, we reserve the right to terminate your account immediately. Every effort will be made to inform you prior to account termination, and to re-establish your account upon receiving such representations from you as we deem appropriate in the circumstances. YOUR SERVICE WILL BE TERMINATED IMMEDIATELY AND WITHOUT WARNING SHOULD YOU USE OUR SYSTEM AS PART OF ANY BULK EMAIL CAMPAIGN OR IN VIOLATION OF ANY PART OF THIS AGREEMENT OR IN VIOLATION OF ANY GOVERNMENT COMPLIANCE REGULATION. You may also be subject to fines and legal actions as a result of your bulk email promotion or regulatory compliance violations. 4) Assignment. This agreement is personal to you. You may not assign your rights under this agreement without our prior written consent. If you do assign your rights, as would be the case were someone other than you to use your account, you shall remain liable to us for any fees due under this agreement. We may assign this agreement at any time. Affiliate may not subcontract any of the Services without INSIGHT INVESTORS’s prior written consent and approval, which INSIGHT INVESTORS may withhold for any reason whatsoever. If INSIGHT INVESTORS consents to a particular subcontractor, Affiliate will assume the same liability and responsibility for that subcontractor’s conduct and performance as if Affiliate performed all of the subcontractor’s services. INSIGHT INVESTORS will not incur any additional fees, costs or charges with regard to any subcontractor unless agreed in writing. In addition to any other obligations relating to the management of subcontractors, 5) Change of Terms and Conditions. We reserve the right to change the terms and conditions of this agreement as needed. Use of our servers by you after said changes constitutes acceptance of those new terms and conditions. If you do not agree to the new terms and conditions, you may terminate this agreement in accordance with Section B. 6) Notification of Account Changes. You agree to provide us with such other information relating to your use of this service as we deem necessary or desirable. You agree to notify us if your address, email address, telephone number, billing information changes. 7) Notices. All notices, requests, demands, and other communications under this agreement shall be in writing and shall be deemed to have been given on the date of delivery: if delivered personally to the party to whom notice is to be given; if sent by electronic mail with a cc: to sender; if sent by fax; or on the third day after mailing by first class mail. Any notice provided by you to Insight Investors of legal nature shall must be in writing and will be given by overnight courier service, personal delivery, or by United States certified mail, return receipt requested, postage prepaid, to the addresses appearing on the contact webpage www.insightinvestorsllc.com,. Notice will be deemed effective on the date it is delivered to the addressee. Either party may change its address for notice purposes by giving the other party notice of such change in accordance with this Section. 8) General Provisions. The subject headings of the articles and sections are for convenience only, and shall not affect the construction or interpretation of any of its provisions. If any portion of this agreement is found invalid or unenforceable, that portion shall be severed and the remainder of this agreement shall remain in force. This agreement constitutes the entire agreement between us pertaining to its subject matter and supersedes all of our prior agreements, representations, and understandings. Subject to Section I, no supplement, modification, or amendment of this agreement shall be binding unless executed in writing by both parties. No waiver of any of the provisions of this agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver. This agreement may be executed in one or more counterparts. Each shall be deemed an original, but all of which together shall constitute one and the same instrument. If an organization is the subscriber, the individual signing up for our services represents that he or she is duly authorized to enter into this agreement on behalf of that organization. In the event of a dispute, the parties agree to submit the matter to the Community Dispute Resolution Service or any recognized Arbitration Board located within our state and county, before instituting litigation. 9) Affiliate may not receive commissions on purchases through their own link or to an affiliate link that has the same address as the affiliate. 10) Term of the Agreements: The term of this Agreement will begin upon Insight Investors, LLC acceptance of your affiliate application and will end when terminated by either party. Either you or Insight Investors, LLC may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn commission fees on Insight Investors, LLC sales occurring during the term of this Agreement. Your agreement to the terms and conditions of this agreement applies both during and after the term of this agreement. 11) Modification of the Agreement: Insight Investors, LLC may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, at any time. If any modification is not acceptable to you, your only action of recourse is to terminate this Agreement between yourself and Insight Investors, LLC If you continue to participate as a Insight Investors, LLC affiliate after changes have been made this will constitute binding acceptance of the changes. The most current terms and conditions can always be found on the affiliate sign up form page. 12) Limitation of Liability under this Agreement: Insight Investors, LLC will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Insight Investors, LLC services, even if Insight Investors, LLC has been advised of the possibility of such damages. Further, Insight Investors, LLC's aggregate liability arising with respect to this Agreement and the Insight Investors, LLC services will not exceed the total monthly fees you paid as an affiliate for up to a period of one year under this Agreement. 13) Independent Investigation: You acknowledge that you have read this Agreement between Insight Investors, LLC and yourself as an affiliate and agree to all terms and conditions. You acknowledge that Insight Investors, LLC may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those stated in this Agreement. You acknowledge you have independently evaluated the desirability of participating in the Insight Investors, LLC affiliate program and have not relied on any representation, guarantee or statement other than as set forth in this Agreement between you and Insight Investors, LLC 14)One time sales shall receive a one time commission. Recurring products and services shall receive a recurring commission. Insight Investors, LLC Affiliate Commissions and Payments Procedures: The amount of commissions due to affiliate members for all products will be as follows: For a new Insight Investors, LLC user that signs up for Insight Investors, LLC services that charge a fee and sign up while using the Affiliate code, the affiliate will receive a commission fee of 10% of the revenue paid by that user for the Insight Investors, LLC services. This is known as a first-tier affiliate commission. For such a sale as described, if an affiliate who made the direct referral is a registered sub-affiliate of another affiliate, the first affiliate will be paid a commission fee of 5% of the revenue received for Insight Investors, LLC services of the sub affiliates user. This is known as a second tier referral commission. The sub-affiliate in this situation, will be paid a first tier commission for the new Insight Investors, LLC user signed up under their Affiliate code. Under this affiliate program Insight Investors, LLC only pays two levels of affiliate commissions for users signed up using the Affiliate codes. A commission will only be credited to an active affiliate when the user signs up using the Affiliate's code at the time of sign up, and after the user has made full payment to Insight Investors, LLC., and after the user has received the service or product for which they have paid. If an Affiliate designated user later receives a refund or a charge back is issued by the credit card holder whose credit card was used to pay for that user's account, any commissions that were credited to both first tier and second tier affiliates will be deducted from the next monthly payment. If there is no next monthly payment, the affiliate will be billed and hereby agrees to be bound by law to reimburse Insight Investors, LLC in full for any such commissions. Payments will be issued to each affiliate by the method they selected at the time of their Affiliate registration. The payment will be made payable to the affiliate in the name the affiliate submits in their online Affiliate application. All affiliates based in the United States of America are required to provide to Insight Investors, LLC a properly executed W-9 form with a social security number on it as prescribed by the Internal Revenue Service of the United States. 15) Tracking of Insight Investors, LLC Sales: Insight Investors, LLC is solely responsible for tracking affiliate sales to users that register using the Affiliate's code. It is the affiliate's sole responsibility to be sure their referred users sign up for Insight Investors, LLC by inputting the affiliate's code at registration or by such other method as designated by Insight Investors, LLC. Insight Investors, LLC will endeavor to do their best to ensure accurate tracking of referrals made by affiliates using the affiliate's code. Insight Investors LLC understand that accurate tracking shall help increase the effectiveness of its affiliate program, however no warranties or claims shall be made as the effectiveness or guarantee of such accurate tracking.. Notwithstanding the above statement of responsibility by Insight Investors, LLC to track sales, affiliates hereby acknowledge and accept that the tracking system employed by Insight Investors, LLC is not 100% fail-safe and that there may on occasion be instances of referral sales made that are not credited to an affiliate for any number of possible reasons, some of which might include: Failure of a user to sign up with a proper affiliate code; network, system or software errors that render it unable to accurately track affiliate sales for a period of time; acts of a nature that cause irretrievable data loss on the computers and back-up systems that store the affiliate commission information. As such, affiliates will not hold Insight Investors, LLC liable to compensate for any claimed commissions that were not tracked and recorded by the Insight Investors, LLC registration or computer system. Insight Investors, LLC will make reasonable efforts to resolve any commission payable disputes with affiliates in the event of such failures. 16) Unsolicited Email: Insight Investors, LLC has a "zero tolerance" policy for unsolicited emails or spam within the Insight Investors, LLC network. Any Insight Investors, LLC user identified as using such actions in the network will have their accounts immediately terminated with no recourse from the user as this is a violation of the Insight Investors, LLC Terms & Conditions User Agreement. In addition, a loss of any commissions do or payable that is found to have spam or sent unsolicited emails that in any way link to any sites owned by Insight Investors LLC and the divisions of Insight Investors Institute. 17) Affiliate Email Lists within the Insight Investors, LLC network: Insight Investors, LLC requires all users of the Insight Investors, LLC to produce only distribution lists of individuals who have given permission to be in the user's Insight Investors, LLC network of contacts. Violations of this policy can result in termination of Insight Investors, LLC services for the user. 18) Relationship of Parties: You and Insight Investors, LLC are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on behalf of Insight Investors, LLC You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Insight Investors, LLC Agreement. 19) Miscellaneous: This Agreement will be governed by the laws of the United States and the State of Texas, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in or near Fort Worth, Texas, and the affiliate irrevocably consents to the jurisdiction of such courts. The affiliate may not assign this Agreement, by operation of law or otherwise, without the prior written consent from Insight Investors, LLC Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. The failure of Insight Investors, LLC, to enforce the affiliate's strict performance of any provision of this Agreement will not constitute a waiver of Insight Investors, LLC's right to subsequently enforce such provision or any other provision of this Agreement. 20) Insight Investors, LLC, Insight Investors , Insight Investors Institute, associated logos and slogans and all other Insight Investors, LLC-related marks depicted in this site, whether registered or unregistered, are trademarks or service marks of Insight Investors, LLC exclusively licensed in the United States and Internationally to Insight Investors, LLC. All rights reserved. 21) AFFILIATE EARNINGS & INCOME DISCLAIMERS ALL EARNINGS, OR INCOME STATEMENTS, OR INCOME EXAMPLES, OR EVEN SPECIFIC INCOME FIGURES FROM INDIVIDUALS OR BUSINESSES ARE ONLY ESTIMATES OF WHAT WE THINK THE POTENTIAL IS OF OUR AFFILIATE PROGRAM FOR OTHERS EVEN IF THESE HAVE OR HAVE NOT TAKEN PLACE. THERE IS NO ASSURANCE YOU WILL MEET ANY OF THESE EXAMPLES ESTIMATES. IF YOU USE THESE STATEMENTS, OR EXAMPLES AND ESTIMATES YOU ACCEPT THE RISK OF NOT DOING AS WELL AS STATED WITHIN THE ESTIMATES. Affiliate shall render INSIGHT INVESTORS all reasonable assistance in connection with any matter pertaining to the protection, enforcement, or infringement of INSIGHT INVESTORS Trademarks used by Affiliate, whether in the courts, administrative or quasi-judicial agencies, or otherwise. 33) Payment Policy & Shipping Methods: As consideration for the products we provide to you, you agree to pay Insight Investors Institute the applicable fees and other costs set forth at the time you purchase from Insight Investors Institute. ALL FEES ARE NON-REFUNDABLE, IN WHOLE OR IN PART. If the damaged DVD or CD is not returned within 14 business days, Insight Investors Institute will charge you the full amount for the new DVD or CD in addition to the original that you have already paid. 34) Termination Each of us can terminate our relationship with the other by discontinuing business with the other. For example, we may discontinue your access to Insight Investors Institute' products in the event you are violating the Terms of Use. However, our rights and remedies under these Terms of Use, including our intellectual property rights, indemnification and limitation of liability, and any other agreement will continue to apply and survive the termination of the relationship. In addition, text messaging may apply and you will be liable for such cost from your phone provider.
